As part of the Legal Department of Bouygues Construction (holding company of the Bouygues Construction Group), the Corporate and Contractual Engineering Team is responsible for assisting the Group's subsidiaries in the design and implementation of their complex structuring projects from a legal perspective, including project finance deals (PPPs/concessions) and other structured finance deals, abroad and in France. The Team is also in charge of the corporate law matters of the Bouygues Construction Group (M&A operations, corporate restructuring etc.) and manages the day-to-day corporate life of the Group's companies.
We are hiring a complex structuring projects in-house counsel (M/F).
What you will be responsible for:
Reporting to the manager of the Corporate and Contractual Engineering Team, you will be in charge of the legal aspects of the complex structuring projects (PPPs, concessions and similar operations) worldwide. Your remit will include:
- Support for project legal structuring;
- Drafting, reviewing, and negotiating contractual documentation;
- Delivering legal advice to commercial, technical, and financial teams in charge of the project;
- Selection and management of external legal advisors;
- Monitoring legal aspects of the tender process, including potential claims;
- Monitoring the legal aspects of the financial close.
You will play a key role within the project team and work closely with many internal entities and stakeholders within the Group (commercial, technical, and financial teams, in-house counsels of our subsidiaries, insurance and tax departments, etc.), and you will liaise directly with all third parties involved in the project (public authorities, investors, credit institutions, industrial partners, legal advisors, etc.).
You may also work on other assignments of the Team, including M&A operations.
We are looking for someone with a builder’s spirit, excellent interpersonal skills, and an ability to adapt to different cultural environments and changing contexts. You particularly enjoy working in a team. You are rigorous and organized, with an appetite for negotiation. You are proficient in French and English and possibly other languages.
You may occasionally be required to travel in France or abroad.
You have 3 to 5 years of experience as a lawyer or an in-house counsel in charge of industrial contracts (works, energy, services, etc.) within a law firm or an industrial company, in France or abroad.
